Argus HQ — Terms of Service

These Terms of Service ("Terms") are a binding contract between you (or the entity you represent, "Customer", "you") and Digital Empire LLC, a Wyoming limited liability company with its registered office at 30 N Gould St Ste N, Sheridan, WY 82801 ("Argus HQ", "we", "us", or "our"). The Terms govern your access to and use of the Argus HQ websites at argushq.ai and any related subdomains, dashboards, APIs, emails, and integrations (collectively, the "Service").
By clicking "I agree", creating an account, or otherwise using the Service, you agree to be bound by these Terms, our Privacy Policy, our AI Disclaimer, our Acceptable Use Policy, and our Cookie Policy, each of which is incorporated by reference.
Modeled on the publicly available Terms of Service of Stripe, Notion, Linear, Vercel, and Plaid, as well as Cloud Native Computing Foundation SaaS terms templates. Future counsel review recommended once MRR > $5,000.
1. Plain-English summary (non-binding)
This box is a courtesy summary. The numbered sections below are what actually controls.
- We build software that watches publicly available US regulatory and government data and sends you alerts. We are not a law firm, accounting firm, regulator, or your advisor. We do not give legal, accounting, financial, medical, or regulatory advice.
- Our alerts are informational only. The underlying records (FDA, SEC, CPSC, Federal Register, SAM.gov, etc.) are public. You are responsible for verifying anything we surface against the original source before acting on it. We do not guarantee that we will catch every relevant filing, or catch it on any particular timeline, or that any AI-generated summary is correct.
- Our maximum liability to you for anything we do is capped at the fees you paid us in the prior twelve (12) months.
- You agree to arbitrate disputes in Wyoming and waive class actions.
- Either side can terminate at any time. If we terminate without cause, we refund prepaid unused fees.
- New: cancel within 30 days of signup and we refund your first month in full — see Section 4.3. One-time offer per Customer entity.
- New: using the Service for insider trading, market manipulation, or to spy on a pharma competitor is grounds for immediate termination — see Section 11.3.
2. Definitions
- "AI Output" means any text, summary, classification, score, or other content generated in whole or in part by a machine-learning model (including Anthropic Claude) and delivered as part of the Service.
- "Customer Data" means any data, content, or material you submit to the Service, including watchlist entries, account information, integration credentials, and configuration.
- "Public Source Data" means data Argus HQ ingests from publicly accessible US federal, state, or municipal sources, including but not limited to the Federal Register, FDA, SEC EDGAR, CPSC, and SAM.gov.
- "Aggregated Data" means de-identified, aggregated data derived from Customer Data or usage of the Service that does not identify any Customer or natural person.
- "Order Form" means our online checkout, an order document, or any other written ordering mechanism that references these Terms.
- "Subscription" means a paid or trial right to use the Service for a stated term.
- "Affiliate" means any entity that controls, is controlled by, or is under common control with a party.
3. The Service
3.1 What it is
The Service ingests Public Source Data, matches it against watchlists you configure, and delivers alerts via email, Slack, webhook, or other channels. Some alert content is generated by AI models (currently Anthropic Claude). The underlying Public Source Data is published by third-party government bodies and is not created, owned, or warranted by Argus HQ.
3.2 Account creation; eligibility
You must be at least 18 years old and authorized to bind the entity you represent. You agree to provide accurate information and keep it current. You are responsible for all activity under your account, including activity by your end users, employees, contractors, and integrations using your API credentials.
3.3 Free trial
We may offer a free trial (currently 14 days, no credit card required). Trials are provided "as is" with no service-level commitment of any kind. We may modify, suspend, or terminate trials at our sole discretion. Any data created during a trial may be deleted at the end of the trial period.
3.4 Beta features
Features designated as "beta", "preview", "alpha", or similar are provided for evaluation only, may be discontinued at any time, and are excluded from any service commitments.
4. Fees, billing, refunds
4.1 Fees
Fees are described on the pricing page at argushq.ai/#pricing or in an applicable Order Form. As of the effective date, the standard subscription is $99 USD per month, billed monthly in advance via Stripe. Prices are exclusive of taxes; you are responsible for all applicable sales, use, VAT, or similar taxes other than taxes on our net income.
4.2 Automatic renewal
Subscriptions automatically renew for successive monthly terms unless cancelled before the renewal date. You can cancel anytime from the dashboard or by emailing billing@argushq.ai. Cancellation takes effect at the end of the then-current billing period.
4.3 30-day money-back guarantee
If you are not satisfied with the Service, you may cancel within thirty (30) days of your initial Subscription signup for a full refund of your first month's Subscription fees. To request a refund, use the "Cancel & get full refund" control in your dashboard at argushq.ai/settings or email billing@argushq.ai. Refunds are issued to your original payment method via Stripe and typically post within five (5) to ten (10) business days. Cancelling under this guarantee ends your Subscription immediately — it is not the same as the standard end-of-period cancellation described in Section 4.2. This guarantee is a one-time offer per Customer entity, regardless of the number of accounts, email addresses, or Subscriptions that entity creates, and cannot be combined with any other refund, credit, or promotion.
4.4 Refunds after the 30-day window
After the window in Section 4.3 has passed, paid fees are non-refundable except where required by law, except that if Argus HQ terminates without cause under Section 11.2, we will refund prepaid unused fees on a pro-rated basis.
4.5 Failed payments
We may suspend the Service if a payment fails and is not cured within seven (7) days of notice. Suspension does not relieve you of the obligation to pay accrued fees.
4.6 Price changes
We may change subscription prices for renewal terms with at least thirty (30) days' email notice to the address on file. If you do not accept the new price, you may cancel before the change takes effect.
5. Customer Data; license; IP ownership
5.1 You keep your data
As between the parties, you own all rights, title, and interest in Customer Data, including your watchlists, watchlist results, and account configuration. You grant Argus HQ a worldwide, non-exclusive, royalty-free license to host, process, transmit, display, and otherwise use Customer Data solely to (a) provide and improve the Service, (b) comply with law, and (c) enforce these Terms.
5.2 We own the platform
Argus HQ retains all rights, title, and interest in and to the Service, including the software, models, prompts, infrastructure, designs, documentation, trademarks, the Argus HQ name and logo, the argushq.ai domain, and any Aggregated Data. Nothing in these Terms transfers any of those rights to you except the limited subscription license expressly granted.
5.3 Public Source Data
Public Source Data originates from third-party government bodies. We do not own it, and we make no representation that any particular item of Public Source Data is accurate, complete, or current. You are responsible for verifying Public Source Data against the original source.
5.4 Aggregated Data
We may collect and use Aggregated Data for any lawful business purpose, including benchmarking, analytics, product development, and marketing, provided the Aggregated Data does not identify you or any natural person.
5.5 Feedback
If you give us feedback or suggestions, we may use them without restriction or compensation.
6. AI features and disclaimer
6.1 AI involvement
The Service generates alert summaries and classifications using third-party AI models, currently Anthropic Claude. AI Output is informational only and may contain errors, misclassifications, hallucinations, omissions, or out-of-date information. You must verify every AI Output against the original source before acting on it.
6.2 Not advice
Argus HQ is not a law firm, accounting firm, financial advisor, medical provider, or regulator. Nothing in the Service, including any AI Output, alert, dashboard text, email, or support communication, constitutes legal, accounting, tax, financial, medical, or regulatory advice. For decisions requiring professional advice, consult a licensed professional.
6.3 Sub-processor models
Anthropic Claude is a sub-processor under Section 12. Use of Anthropic services is subject to Anthropic's Commercial Terms of Service and Usage Policies. We do not train Anthropic models on Customer Data.
6.4 Acknowledgment
By using the Service, you specifically acknowledge the limitations of large language models, including the risk of hallucinated citations, misattributed authority, and confidently incorrect output. You agree that Argus HQ has no liability for any loss arising from your reliance on AI Output without independent verification.
7. Service availability — no guarantee
We aspire to high uptime but do not promise any specific uptime level, latency, or alert-delivery timeliness. The Service is provided on a commercially reasonable basis. We may perform scheduled or emergency maintenance at any time. We make no warranty that any alert will be delivered, will be delivered on time, will be complete, will be accurate, or will reach your inbox, Slack, or webhook endpoint. Email and webhook delivery depend on third-party infrastructure outside our control.
Argus HQ does not offer a contractual SLA at V1. SLA-style commitments may be introduced for enterprise tiers in future versions.
8. Disclaimers and missed-alert clause
8.1 AS IS
THE SERVICE, INCLUDING ALL ALERTS, AI OUTPUT, PUBLIC SOURCE DATA, DASHBOARDS, INTEGRATIONS, AND DOCUMENTATION, IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND. To the maximum extent permitted by law, Argus HQ disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, timeliness, freedom from defects or errors, and any warranty arising from course of dealing or usage of trade.
8.2 Missed, delayed, inaccurate, or incomplete alerts
You expressly acknowledge and agree that:
- (a) Argus HQ may fail to detect a relevant filing, may detect it after it was published, may misclassify it, may summarize it incorrectly, or may fail to deliver the alert;
- (b) Public Source Data feeds are operated by third parties and may change format, become unavailable, be delayed, or contain errors;
- (c) Email, Slack, SMS, and webhook delivery channels are operated by third parties and may fail or delay;
- (d) You are solely responsible for verifying any matter material to your business against the original source;
- (e) Argus HQ shall have no liability for any missed, delayed, inaccurate, incomplete, misclassified, or undelivered alert, or for any decision made or not made in reliance on the Service.
8.3 No professional reliance
You agree not to use the Service as the sole basis for any legal, regulatory, compliance, medical, financial, or business decision and to consult appropriate licensed professionals for such decisions.
9. Limitation of liability
9.1 No indirect damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL ARGUS HQ OR ITS AFFILIATES, OFFICERS, MEMBERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITY, LOST GOODWILL, LOST DATA, BUSINESS INTERRUPTION, COST OF SUBSTITUTE GOODS OR SERVICES, REGULATORY FINES OR PENALTIES, OR LITIGATION COSTS, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, AND EVEN IF ARGUS HQ HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
9.2 Aggregate cap
ARGUS HQ'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE GREATER OF (A) THE FEES YOU ACTUALLY PAID TO ARGUS HQ FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE FIRST EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).
9.3 Allocation
The parties acknowledge that these limitations are an essential basis of the bargain and that fees would be materially higher without them. The limitations apply notwithstanding the failure of essential purpose of any limited remedy.
9.4 Exceptions
Some jurisdictions do not allow exclusion of certain warranties or limitations of liability. To the extent such law applies to you, certain limitations above may not apply, but they will apply to the maximum extent permitted.
10. Indemnification
10.1 By Customer
You will defend, indemnify, and hold harmless Argus HQ and its officers, members, employees, and agents from and against any third-party claim, demand, suit, proceeding, loss, liability, damage, fine, penalty, cost, or expense (including reasonable attorneys' fees) arising out of or related to: (a) Customer Data; (b) your use of the Service in breach of these Terms or applicable law; (c) any action taken or not taken by you or any third party in reliance on the Service or any alert; or (d) your violation of any third-party right, including any intellectual property, privacy, or publicity right.
10.2 Process
We will notify you promptly of any claim subject to indemnification, give you control of the defense and settlement (provided no settlement requires any admission or payment by us without our consent), and reasonably cooperate at your expense.
11. Term and termination
11.1 Term
These Terms start when you accept them and continue until the Subscription ends or until terminated as set out below.
11.2 Termination by Argus HQ
We may terminate or suspend any account at any time, for any reason or no reason, with thirty (30) days' email notice to the address on file. If we terminate without cause, we will refund a pro-rated portion of prepaid unused fees. We may terminate or suspend immediately and without refund if you breach Section 5, Section 6, Section 8.3, the Acceptable Use Policy, or applicable law, or if continued service would pose a security, legal, or reputational risk to Argus HQ.
11.3 Immediate termination for illegal use
Without limiting Section 11.2, we may immediately terminate or suspend, without notice and without refund, any account we reasonably believe is using the Service, Public Source Data, or any AI Output for an illegal purpose, including (without limitation): (a) securities-law violations such as insider trading or market manipulation based on non-public inferences drawn from the Service; (b) competitive espionage or unlawful surveillance directed at another pharmaceutical, medical-device, biotech, or life-sciences company; or (c) any other use that violates applicable law or the rights of a third party. Argus HQ may report suspected illegal use to law enforcement or the relevant regulator.
11.4 Termination by Customer
You may cancel anytime from the dashboard. Cancellation takes effect at the end of the then-current billing period.
11.5 Effect of termination
On termination: (a) your right to use the Service ends; (b) you have a thirty (30) day window from termination to export Customer Data via the dashboard or our export API; (c) after that window, we may permanently delete Customer Data per the Privacy Policy. Sections that by their nature survive termination — including Sections 5, 8, 9, 10, 12 (sub-processor confidentiality), 13, 14, 15, and 16 — will survive.
12. Privacy and security
Our handling of personal data is described in the Privacy Policy. The current list of sub-processors includes Stripe (payments), Supabase (database and auth), Resend (email delivery), Anthropic (AI summarization), PostHog (product analytics), and Vercel or equivalent (hosting). We will use reasonable technical and organizational measures to protect Customer Data. We do not warrant that the Service is free from vulnerabilities, intrusion, or compromise.
If you require a Data Processing Addendum (DPA) for GDPR or UK GDPR, contact privacy@argushq.ai. A standard DPA based on the EU Standard Contractual Clauses is available on request.
13. Modifications to the Terms
We may modify these Terms at any time. Material changes will be notified by email to the address on file at least thirty (30) days before they take effect. Continued use of the Service after the effective date constitutes acceptance. If you do not accept the changes, your sole remedy is to cancel the Subscription before the effective date.
We maintain a public changelog of all Terms versions at argushq.ai/legal/terms/history.
14. Governing law; dispute resolution; arbitration; class action waiver
14.1 Governing law
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
14.2 Mandatory binding arbitration
You and Argus HQ agree to resolve any dispute arising out of or relating to these Terms or the Service exclusively through final and binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator in Sheridan, Wyoming, or by videoconference at the arbitrator's discretion. Judgment on the award may be entered in any court of competent jurisdiction.
14.3 Class action waiver
You and Argus HQ agree that any arbitration or court proceeding will be conducted only on an individual basis and not as a class, collective, consolidated, or representative action. The arbitrator has no authority to consolidate claims or preside over any class or representative proceeding.
14.4 Exceptions
Either party may bring an action in a court of competent jurisdiction in Sheridan County, Wyoming, solely for (a) injunctive or equitable relief to protect intellectual property or confidentiality, or (b) small-claims-court matters within that court's jurisdiction.
14.5 Opt-out
You may opt out of Section 14.2 and 14.3 by emailing legal@argushq.ai within thirty (30) days of first acceptance. The email must contain your name, the account email, and the words "Argus HQ Arbitration Opt-Out". An opt-out has no effect on the remainder of these Terms.
Modeled on the AAA + Wyoming-venue pattern used by Stripe, GitHub, and Notion. California users retain rights under the CCPA notwithstanding Section 14.
15. Compliance with laws; export
You will use the Service only in compliance with applicable law, including US export-control laws (EAR, OFAC), anti-bribery laws (FCPA), and applicable data protection laws. You represent you are not located in, and are not a national or resident of, a country subject to a US embargo, and are not on any US restricted-party list.
16. General
16.1 Entire agreement
These Terms, together with the documents incorporated by reference, are the entire agreement between the parties regarding the Service and supersede all prior or contemporaneous agreements, communications, and understandings.
16.2 Assignment
You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
16.3 Notices
Notices to you will be sent to the email address on file. Notices to us must be sent to legal@argushq.ai and to Digital Empire LLC, 30 N Gould St Ste N, Sheridan, WY 82801.
16.4 Force majeure
Neither party is liable for any failure or delay caused by events beyond reasonable control, including acts of God, war, terrorism, civil disturbance, pandemic, government action, internet or cloud-provider outage, or third-party data-source failure.
16.5 No waiver
Failure to enforce any provision is not a waiver of the right to enforce it later.
16.6 Severability
If any provision is held unenforceable, the remainder will continue in full force, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
16.7 Relationship
The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, employment, or fiduciary relationship.
16.8 No third-party beneficiaries
These Terms do not create rights for any third party.
16.9 Headings
Headings are for convenience only and do not affect interpretation.
